Terms of Service

These terms are the contract for Underpaint between you and Rockon sp. z o.o., ul. gen. Józefa Zajączka 30/1, 01-510 Warszawa, Poland, KRS 0000467123, NIP 5252557058, REGON 146748685, share capital 5 000 PLN ("we"). The service is at underpaint.io. 1. What the words mean A workspace is the space your team works in. A seat is a paid place in that workspace. The AI budget is the monthly amount for paid model classes. A top-up adds to that amount until the end of the current period. Output is the text or image a model returns. A consumer is a person using Underpaint outside their trade, and a trader who has consumer rights under Polish law. 2. The account You must be 18 or older. You give a true name and email. You are responsible for the people you invite and for what they put into the workspace. Keep the sign-in link to yourself. 3. Plans and payment The plan, the price and VAT are shown before you pay. Stripe collects the payment and issues the receipt or invoice. A subscription renews until you cancel. We email you 30 days before a price change takes effect. A Polish business customer with a Polish VAT id receives a Polish invoice. Everyone else receives the Stripe invoice. 4. The AI budget Premium models, research, the most expensive models and images spend the AI budget. Fast replies on the included model do not, up to a daily cap that stops abuse. Unused budget and unused top-ups end with the period. When the budget is gone, a message we route ourselves steps down to a faster model. A model you chose yourself stops, and you can top up. 5. The free start A new account includes four guided messages on the fast model, with the client, the brief and the chat kept in the workspace. A paid plan adds the monthly AI budget. 6. Cancelling Cancel any time in billing. Access continues until the end of the period you have paid. We do not refund a period that has started, except where consumer law requires a refund. For 30 days after the workspace closes you can still read and export. Then we delete the workspace content. Invoices stay for the period tax law requires. 7. A failed payment Paid model classes stop when a payment fails. After three days, sending stops. Reading and export stay until the workspace closes. 8. The output You own the output as far as the law allows. You check facts, advertising claims and trademarks before anything is published. Answers and images are produced by AI models. You can tell that from the product: each answer names the model that wrote it. 9. Your inputs You license us your messages, files and brand notes only so we can run the service for you. We do not train models on them. Before a model call, names you put on the hide list, and contact details the filter recognises (email addresses, phone numbers, IBANs, card numbers), are replaced with placeholders. The answer you see has the original words back. 10. The models Underpaint calls models through OpenRouter. Which model answers, and whether it is available, can change. The current list is in the product and on the subprocessors page. 11. Availability Solo and Team have no service-level agreement. An availability commitment for Agency, if you want one, is a separate contract. 12. Liability For a business customer our liability for the service is capped at the fees you paid us in the previous 12 months. For a consumer the limit is whatever the law allows. We are liable for damage caused by intent or gross negligence without that cap. 13. Acceptable use The acceptable use policy is part of these terms. We may suspend the workspace if you break it, and we will tell you why unless the law stops us. 14. Law and disputes Polish law applies. A business customer accepts the courts at our seat in Warszawa. A consumer keeps the courts the law gives them. A consumer can also take a dispute to a permanent consumer arbitration court at the Trade Inspection (Inspekcja Handlowa). 15. Changes We email changes to these terms 30 days before they apply. If you keep using Underpaint after that date, the new terms apply. A consumer can cancel before they apply. 16. Consumers You may withdraw from the contract within 14 days of making it, without giving a reason. The deadline is met if you send the notice before it ends. Send it to hello@underpaint.io. If you ask us to start the digital service during those 14 days, you confirm that you lose the right to withdraw once performance has begun. Digital content has to match the description you saw before you paid. A complaint about the service is answered within 14 days. Withdrawal form To: Rockon sp. z o.o., ul. gen. Józefa Zajączka 30/1, 01-510 Warszawa, hello@underpaint.io. I withdraw from the contract for Underpaint. Name, email, date of the contract, date of this notice, signature if you send it on paper.
